Terms & Conditions - The Basics

These Terms & Conditions (“Terms”) govern access to and use of the websites, applications, and services provided by Fieldflux Biosystems, Inc. (“Fieldflux,” “we,” “us,” “our”), including Membrane: Health, Membrane Pro, related companion/share apps, and any associated features, content, and services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms.

1) Who may use the Services

You must be at least 18 years old (or the age of majority where you live) to use the Services. If you use the Services on behalf of an organization (e.g., a clinic, team, or training business), you represent that you have authority to bind that organization to these Terms.

2) Intended use and scope

The Services support wellness, training, and informational insights based on timing, trend, and relationship patterns across physiological signals.

 

The Services may provide summaries, projections, or recommendations intended to support reflection and planning.  Medical decisions belong with qualified professionals. If health concerns arise, medical evaluation and care should be sought from licensed clinicians.

Fieldflux may offer research, pilot, prototype, or evaluation programs (including QPCI-related efforts). Participation may require additional terms, consent documents, and study/pilot protocols.

3) Accounts and access

Some features require an account, a verified professional status, or a subscription.

You agree to:

  • Provide accurate account information and keep it current

  • Maintain the confidentiality of account credentials

  • Notify us promptly of suspected unauthorized access

 

4) Subscriptions, billing, and cancellations

Certain features (including Pro features) are offered via subscription or paid access.

Unless stated otherwise at purchase:

  • Fees are billed in advance and renew automatically each billing cycle

  • Taxes may apply

  • Cancellation takes effect at the end of the then-current billing period

Refund practices, trial terms, and promotional pricing (if offered) are described at checkout or in the applicable purchase flow.

 

5) Professional features and client data sharing

The Services may include tools that enable a client (e.g., athlete/patient) to share a limited dataset with a professional (e.g., clinician/coach/trainer) for assessment.

Consent and authorization

Client data sharing is permission-based. Clients control whether to share and what to share through consent flows in the companion/share experience. Professionals agree to use shared data only for the purpose authorized by the client and consistent with applicable law and professional obligations.

 

Secure share artifacts (e.g., QR codes or share codes)

Some sharing features use time-limited share artifacts such as QR codes or share codes. These artifacts may be forwarded by the client through channels such as text or email. Anyone in possession of the artifact may be able to initiate an import, so clients and professionals share responsibility for safeguarding share artifacts and confirming the intended recipient.

 

Professional responsibility

Professionals remain responsible for the use of shared data within their scope of practice, including appropriate interpretation, documentation, duty of care, and compliance with any applicable legal or professional requirements.

 

6) Health and device data sources

The Services may integrate with third-party data sources, including device-resident health frameworks (e.g., HealthKit), wearables, or other sensor platforms. Data availability and accuracy depend on the third-party source, device configuration, permissions, and hardware performance.

Fieldflux may transform, normalize, summarize, or model data to generate insights. Output quality depends on data quality and context.

 

7) Privacy and data handling

Our handling of personal data is described in our Privacy Policy ([link]). The Privacy Policy is incorporated into these Terms by reference.

Where the Services provide options for on-device processing, encrypted sharing, or export (including PDF exports), those options are intended to support user control and professional workflows. Storage, retention, and export behaviors may vary by feature and configuration.

 

8) Acceptable use

You agree to use the Services in a safe, lawful, and respectful manner.

You agree not to:

  • Interfere with or disrupt the Services, security, or integrity

  • Attempt to access other users’ data without authorization

  • Reverse engineer or extract source code or models except where law permits

  • Use the Services to provide emergency medical services or emergency decision-making

  • Use the Services for unlawful surveillance or discriminatory decisions

We may suspend or terminate access for violations or risk to users, systems, or third parties.

 

9) Intellectual property

The Services, including software, models, interfaces, branding, and content, are owned by Fieldflux or its licensors and are protected by intellectual property laws.

 

Fieldflux grants you a limited, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use (as applicable) in accordance with these Terms.

 

10) Feedback

If you submit feedback, suggestions, or ideas, you grant Fieldflux a perpetual, worldwide right to use them without restriction or compensation, unless prohibited by law.

 

11) Exports, reports, and professional documents

The Services may generate summaries, reports, and exports (including PDFs). These materials reflect the available data and the selected methods at the time of generation. Where used in professional settings, these outputs are intended to support informed review and decision-making and should be interpreted within appropriate context.

 

12) Beta, pilot, and experimental features

Some features may be labeled beta, pilot, experimental, preview, or similar. These features may change, have limited support, or be discontinued. Participation may require additional terms, protocols, or consents.

 

13) Disclaimers

The Services are provided on an “as is” and “as available” basis. Fieldflux disclaims warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Fieldflux does not guarantee uninterrupted operation, error-free outputs, or that any particular outcome will be achieved through use of the Services.

 

14) Limitation of liability

To the fullest extent permitted by law, Fieldflux and its affiliates, officers, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

To the fullest extent permitted by law, Fieldflux’s total liability for any claim arising out of or related to the Services will not exceed the amount paid by you to Fieldflux for the Services in the 12 months preceding the event giving rise to the claim (or $100 if you have not paid anything).

Some jurisdictions limit the exclusion of certain warranties or liabilities; these Terms apply to the extent permitted.

 

15) Indemnification

You agree to indemnify and hold harmless Fieldflux and its affiliates from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of applicable laws or third-party rights.

 

16) Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law principles, unless a different jurisdiction is required by applicable consumer protection laws.

17) Changes to the Terms

We may update these Terms from time to time. Changes become effective when posted with a revised effective date. Continued use of the Services after the effective date means the updated Terms apply.
